Terms of Service

1. Service Description

Zenicall is an AI receptionist designed to manage phone calls for medical and dental clinics in Quebec. The service includes appointment booking, call triage, emergency management, and integration with major clinic management software (EMR/EHR).

2. Client Obligations

As a client, you agree to:

• Provide accurate and up-to-date information regarding your clinic, schedules, and protocols.
• Properly configure call forwarding to the Zenicall number provided.
• Comply with all applicable laws, including Law 25 on the protection of personal information.
• Obtain appropriate consent from your patients for the use of an AI receptionist.
• Not use the service for illegal, fraudulent, or unauthorized purposes.

3. Billing and Payment

• Pricing: Setup and subscription fees are communicated at the time of sign-up and may vary depending on the chosen plan.
• Subscription: The subscription is billed according to the frequency agreed upon at sign-up (monthly or annually).
• Payment Terms: Payments are automatically charged by credit card or bank withdrawal according to the agreed terms.
• Non-Payment: In case of non-payment after 15 days, the service may be suspended without notice.

4. Data Ownership

The confidentiality of your data is our priority:

• Your Data: All data relating to your patients and your clinic belongs entirely to you.
• Our Role: We act as a data processor in accordance with Law 25 and PIPEDA.
• Confidentiality: Data is encrypted end-to-end and hosted exclusively in Canada in certified data centers.

5. Intellectual Property

Zenicall, including its software, AI algorithms, interface, and brand, remains the exclusive property of Zenidata Inc. No license is granted beyond the right to use the service during the term of your subscription.

6. Limitation of Liability

Zenicall is an assistance tool and does not replace professional medical judgment. Clinical decisions remain the exclusive responsibility of healthcare professionals.

Zenidata Inc. cannot be held liable for indirect damages, loss of revenue, or harm resulting from the use or inability to use the service, to the extent permitted by law.

7. Term and Termination

• Term: The subscription is monthly and renews automatically.
• Client Termination: You may cancel at any time with 30 days' notice. No refund for the current month.
• Zenidata Termination: We reserve the right to suspend or terminate the service in case of violation of these terms or non-payment.

8. Modifications to Terms

We may modify these terms at any time. Significant changes will be communicated by email at least 30 days before they take effect. Your continued use of the service after this period constitutes your acceptance of the new terms.

9. Governing Law

These terms are governed by the laws of Quebec and the applicable federal laws of Canada. Any dispute shall be submitted to the exclusive jurisdiction of the courts of the judicial district of Montreal.
